All services are subject to availability and project approval.
4. Intellectual Property Rights
Clients retain ownership of original manuscripts upon full payment. Grolier retains ownership of preliminary concepts, drafts, templates, graphics, and unpublished design assets until payment completion. Unauthorized use, reproduction, or distribution is prohibited. All website content, logos, trademarks, graphics, and software are protected under copyright and intellectual property laws.
5. Client Responsibilities
Clients must provide accurate materials, respond in a timely manner to requests, ensure content doesn't infringe rights, and obtain third-party permissions. Communication delays may impact timelines.
6. Payment Terms
- Fees & Billing: Pricing is provided through invoices or proposals.
- Deposits: Projects may require upfront deposits.
- Final Delivery: Deliverables and ownership transfer are withheld until full payment.
- Taxes: Applicable taxes and fees may apply by jurisdiction.
- Chargebacks: Unauthorized chargebacks result in project suspension, account termination, legal recovery actions, and licensing revocation.
7. Revisions Policy
Reasonable revisions are included with service packages. Additional revisions incur extra charges. Major changes requested after approval require revised quotes and updated timelines.
8. Refund & Exchange Policy
These services are generally non-refundable once commenced: ghostwriting, editing, formatting, cover design, marketing, publishing setup, scriptwriting, website development, and custom branding. Grolier may offer service credits or exchanges at its discretion. Refunds are not issued for change of mind, client-caused delays, subjective dissatisfaction, failure to review materials, or services rendered. If refunds are approved, all rights to drafts, concepts, designs, and deliverables remain Grolier's exclusive property unless otherwise agreed.
9. Author Content & Warranties
You represent and warrant that you own or control all rights to submitted content, that materials don't violate copyright, trademark, privacy, or defamation laws, and that content contains no unlawful, abusive, misleading, or infringing material. You indemnify Grolier from claims arising from your content.
10. Publishing & Distribution
Grolier assists with publishing and distribution but doesn't guarantee sales, rankings, bestseller status, media placements, or financial success. Distribution approvals depend on third-party policies. Grolier isn't responsible for platform suspensions, rejections, account limitations, or algorithmic changes. Clients remain responsible for third-party platform compliance.
11. Marketing Disclaimer
Marketing services are best-effort only. Grolier doesn't guarantee sales volume, advertising performance, ROI, media coverage, viral reach, lead generation, or bestseller rankings. Results vary based on market conditions, audience behavior, genre, budget, timing, and external factors beyond our control.
12. Confidentiality
Grolier maintains reasonable confidentiality regarding manuscripts, unpublished materials, and sensitive project information. Completed projects, covers, testimonials, or public releases may be showcased for portfolio and promotional purposes unless otherwise agreed.
13. Prohibited Uses
Services cannot be used to violate laws, infringe intellectual property, publish defamatory, hateful, obscene, or fraudulent content, upload malware, engage in harassment, abuse, or fraud, or misrepresent identity. The company reserves the right to refuse or terminate services for prohibited conduct.
14. Third-Party Services
Services may involve third-party providers including Amazon KDP, IngramSpark, Barnes & Noble Press, Google Books, Apple Books, Meta advertising, printing vendors, and payment processors. Grolier isn't liable for outages, policy changes, delays, restrictions, or errors from third parties.
15. Termination
Grolier may suspend or terminate services if Terms are violated, payments are overdue, fraudulent activity is suspected, or abusive behavior occurs. Termination doesn't relieve outstanding payment obligations.
16. Disclaimer of Warranties
All services are provided "as is" and "as available." Grolier disclaims all warranties, express or implied, including merchantability, fitness for purpose, non-infringement, and results expectations. Uninterrupted service, error-free performance, or commercial success aren't warranted.
17. Limitation of Liability
Grolier isn't liable for indirect or consequential damages, lost profits, lost data, business interruption, reputational harm, or lost sales/opportunities. Total liability doesn't exceed the amount paid for the specific service involved.
18. Indemnification
You defend, indemnify, and hold harmless Grolier, its owners, employees, contractors, affiliates, and partners from claims, damages, liabilities, costs, or legal expenses arising from your content, misuse of Services, Terms violation, or intellectual property disputes.
